Terms of Business

These Terms of Business explain how BROKERY LTD, trading as Brokery Finance ("Brokery Finance", "we", "our" or "us"), provides commercial finance brokerage and advisory services.
By engaging with our services, submitting information or documentation, paying any applicable fees, or accepting an introduction to a lender or finance provider, you acknowledge that these Terms apply to your dealings with us.
1. Our Services
Brokery Finance is an independent commercial finance broker and advisor, helping businesses secure funding through our network of lenders, investors and specialist finance providers.
Our services may include:
- Assessing your funding requirements.
- Identifying suitable funding options.
- Preparing and packaging finance applications.
- Introducing you to appropriate lenders and finance providers.
- Managing communications throughout the funding process.
- Providing commercial finance advice and support.
Brokery Finance does not lend money directly and cannot guarantee:
- Approval of any finance application.
- The amount of funding available.
- Interest rates or other lending terms.
- Timescales for lender decisions or completion.
All lending decisions are made solely by the relevant lender or finance provider.
2. Commitment Fee
A non-refundable Commitment Fee of £995 plus VAT (where applicable) is payable when you formally instruct Brokery Finance to begin work on your funding application.
This fee covers the work involved in assessing your requirements, preparing your application, sourcing suitable lenders, packaging supporting documentation and managing the funding process.
Where a Broker Fee subsequently becomes payable, the Commitment Fee will be credited against the final Broker Fee.
3. Broker Fee
Our Broker Fee is 1% of the gross facility amount, subject to a minimum fee of £1,500 plus VAT (where applicable).
The Broker Fee becomes payable when a lender introduced by Brokery Finance issues a formal credit-approved offer, sanction or equivalent funding approval.
The Commitment Fee paid at instruction will be deducted from the Broker Fee.
Where an approved offer has been issued and you subsequently decide not to proceed with the facility, the Broker Fee remains payable, as the agreed brokerage service has been successfully delivered.
4. Introductions
An introduction is deemed to have occurred where Brokery Finance:
- Introduces you to a lender or finance provider.
- Provides the name or contact details of a lender.
- Arranges meetings or communications.
- Facilitates discussions.
- Submits an application on your behalf.
- Otherwise connects you with a funding source.
If you complete a finance transaction with a lender or finance provider introduced by Brokery Finance, whether directly or indirectly, our Broker Fee remains payable.
Clients must not seek to bypass Brokery Finance in order to avoid payment of agreed fees.
5. Additional Advisory Services
Where work is requested outside the scope of our standard brokerage service, additional consultancy or advisory fees may apply.
Any additional charges will always be agreed with you before work begins.
6. Lender Commission
Brokery Finance may receive commission, procuration fees or other remuneration from lenders or finance providers.
Any commission received is separate from the Broker Fee payable by the Client unless expressly agreed otherwise in writing.
7. Client Responsibilities
To enable us to provide an efficient service, clients are responsible for:
- Providing accurate, complete and up-to-date information.
- Supplying requested documentation promptly.
- Informing us of any material changes to their financial position or circumstances.
- Cooperating throughout the funding process.
Brokery Finance accepts no responsibility for delays, declined applications or other outcomes resulting from inaccurate, incomplete or misleading information supplied by the Client.
8. Confidentiality and Data Protection
We treat all client information as confidential.
Personal data is processed in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018 and our Privacy Policy.
Information may be shared with lenders, finance providers or professional advisers where necessary to assess funding applications or where disclosure is required by law.
9. Anti-Money Laundering
To comply with UK legislation, Brokery Finance may request documentation to verify the identity of clients, directors, beneficial owners or authorised representatives.
Failure to provide satisfactory information may prevent us from progressing your application.
10. Limitation of Liability
Brokery Finance will exercise reasonable care and skill in providing its services.
However, we are not responsible for:
- Lending decisions made by finance providers.
- Changes to lending criteria.
- Interest rate movements.
- Property valuations.
- Legal, tax or accounting advice.
- Delays caused by lenders or third parties.
- Indirect or consequential loss, including loss of profit or business opportunity.
To the fullest extent permitted by law, our total liability arising from our services shall not exceed the fees paid directly to Brokery Finance for the relevant engagement.
Nothing in these Terms excludes liability that cannot legally be excluded under the laws of England and Wales.
11. Governing Law
These Terms of Business are governed by and construed in accordance with the laws of England and Wales.
Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
